MediaPilot Demand Partner Terms of Service

1. Overview

These Terms of Service ("Agreement") govern participation in the MediaPilot demand partner program ("Partner," "you"). By registering and accessing the MediaPilot platform, you agree to these terms.

MediaPilot operates as a supply-side platform (SSP) for Connected TV (CTV) inventory, enabling demand partners to bid on and serve ads across distributed media channels.

2. Eligibility

To participate, you must:

  • Be a legally registered business entity
  • Have authority to enter into binding agreements
  • Comply with all applicable laws and advertising regulations

MediaPilot reserves the right to approve or reject any partner at its sole discretion.

3. Integration & ads.txt Compliance

Partners must:

  • Provide accurate demand endpoints and bid configurations
  • Maintain valid ads.txt and/or app-ads.txt records
  • Ensure all declared domains and reseller relationships are accurate

Failure to maintain proper records may result in suspension.

4. Ad Quality & Standards

All creatives must comply with:

  • IAB standards and specifications
  • Industry best practices for CTV advertising

Prohibited content includes, but is not limited to:

  • Illegal products or services
  • Misleading or deceptive advertising
  • Malware, auto-redirects, or disruptive creatives

Restricted categories (subject to approval or limitation):

  • Political advertising
  • Alcohol
  • CBD and related products

MediaPilot reserves the right to reject or remove any creative at any time.

5. Fraud & Invalid Traffic

Partners agree not to:

  • Generate or encourage fraudulent impressions or clicks
  • Use bots, spoofing, or domain masking
  • Misrepresent bid requests or inventory sources

MediaPilot may withhold payment and suspend accounts involved in invalid traffic.

6. Revenue & Payment Terms

  • Revenue is calculated based on valid, billable impressions delivered
  • MediaPilot may apply revenue share or platform fees as agreed
  • Payments are made on a net 30 basis, subject to minimum payout thresholds
  • Invalid traffic, chargebacks, or disputes may result in adjusted payouts

7. Platform Access & Availability

MediaPilot provides access on an "as-is" basis. We do not guarantee:

  • Continuous availability
  • Specific fill rates or revenue outcomes

8. Suspension & Termination

By MediaPilot

We may suspend or terminate access if:

  • You violate these terms
  • You engage in fraudulent or harmful activity
  • You fail to comply with ad quality or policy requirements

By Partner

You may terminate participation at any time by discontinuing use of the platform.

9. Data Use & Privacy

Partners agree to:

  • Use data solely for advertising purposes
  • Comply with applicable privacy laws (e.g., GDPR, CCPA)
  • Not collect or misuse personally identifiable information without proper consent

MediaPilot may collect and use aggregated performance data for platform optimization.

10. Indemnification

You agree to indemnify and hold harmless MediaPilot from any claims, damages, or liabilities arising from:

  • Your use of the platform
  • Your ad content or campaigns
  • Violations of applicable laws or regulations

11. Limitation of Liability

MediaPilot shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of revenue, data, or business opportunities

Total liability shall not exceed the amount paid to you in the prior 3 months.

12. Governing Law

This Agreement shall be governed by the laws of the State of Arizona, without regard to conflict of law principles.

13. Updates to Terms

MediaPilot may update these terms at any time. Continued use of the platform constitutes acceptance of the updated Agreement.
